1. Agreement to Terms
By accessing or using our website softeem.ca (the "Site") and any software tools, demonstrations, or engineering services provided by Softeem Emphasis Inc. ("Softeem Emphasis," "we," "our," or "us"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not access or use the Site or our utilities.
2. Use of the Site and Browser Tools
Softeem provides both informational content regarding our custom software engineering services and a suite of free, client-side visual utilities (e.g., format converters, vectorizers, perceptual hashing calculators, background isolators, and metadata inspectors).
- Permitted Use: You are granted a non-exclusive, revocable license to use our browser tools for personal, academic, or commercial image processing workflows.
- Ownership of Your Assets: You retain 100% full ownership, copyright, and all intellectual property rights to any images, graphics, or data files you process using our tools. Softeem does not claim any ownership over your source files or output artifacts.
- Lawful Conduct: You agree not to use the Site or tools to process, generate, or distribute content that violates applicable Canadian, provincial, or international copyright, trademark, privacy, or criminal laws.
- No Reverse Engineering of Proprietary Models: You agree not to scrape, exploit, or reverse engineer any proprietary algorithms, models, or service architecture presented on the Site for competing commercial distribution without our express written consent.
3. Intellectual Property Rights
The Site, its design system, codebase, visual blueprints, articles, documentation, logos, and branding are owned by Softeem Emphasis Inc. and are protected by Canadian and international copyright, trademark, and intellectual property laws. You may not reproduce, redistribute, modify, or create derivative works of our site structure or branding without prior written authorization.
4. Disclaimers and As-Is Provision
The tools, demonstrations, articles, and architectural scenarios on the Site are provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied.
While our browser utilities are engineered for deterministic mathematical precision, Softeem does not guarantee that tool results will be completely error-free, uninterrupted, or suitable for every specialized industrial, legal, or high-tolerance physical print production workflow. Users are solely responsible for verifying critical output files (such as DPI sampling, vector cut lines, and color profiles) prior to commercial fabrication or mass reproduction.
5. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SOFTEEM EMPHASIS INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS INTERRUPTION) ARISING FROM OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE SITE, TOOLS, OR CONTENT, REGARDLESS OF THE LEGAL THEORY ASSERTED.
6. Indemnification
You agree to defend, indemnify, and hold harmless Softeem Emphasis Inc. and its officers, directors, employees, and contractors from and against any claims, liabilities, damages, judgments, awards, losses, costs, or legal expenses resulting from your violation of these Terms of Service or your unlawful use of the Site or tools.
7. Governing Law and Jurisdiction
All matters relating to the Site and these Terms of Service shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without giving effect to any conflict of law principles. Any legal suit or proceeding arising out of or related to these Terms shall be instituted exclusively in the courts of the Province of Ontario.
